Service Agreement
1. Parties
This Service Agreement ("Agreement") is entered into on 1970-01-01 by and between [Provider] ("Provider"), located at [Provider Address], and [Client] ("Client"), located at [Client Address].
2. Services

4. Term

5. Confidentiality

6. Intellectual Property
All deliverables produced under this Agreement shall become the property of the Client upon full payment. Provider retains rights to underlying tools, methods, and pre-existing IP.
7. Warranties & Liability
Provider warrants that services will be performed in a professional manner. Neither party shall be liable for indirect, incidental, or consequential damages. Aggregate liability is limited to fees paid under this Agreement.
8. Termination
Either party may terminate this Agreement with 30 days' written notice. Client shall pay for all services performed up to the termination date.
9. Governing Law
This Agreement is governed by the laws of State of California, USA. Any disputes shall be resolved in the courts of that jurisdiction.
10. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations, representations, or agreements. Amendments must be in writing and signed by both parties.
